This page governs your access to and use of this website (the “Site”), operated by BTJW Corporate — a Singapore-focused advisory practice — together with its principals, directors, officers, employees, contractors and affiliates (collectively, “BTJW”, “we”, “us” or “our”). By accessing or using the Site you agree to these terms. If you do not agree, do not use the Site.

i. General information only — no advice

The information on this Site is provided for general information and educational purposes only. It is not, and must not be relied upon as, financial, investment, securities, fund, product, legal, tax, accounting, regulatory or any other form of professional advice or recommendation. The content is general in nature and does not have regard to your particular objectives, financial situation, risk tolerance or needs. You should not act, or refrain from acting, on the basis of any content on the Site without first obtaining independent, licensed professional advice appropriate to your circumstances and jurisdiction. While we take reasonable care in preparing the content, we make no representation or warranty, express or implied, as to its accuracy, completeness, currency or suitability. Content may be updated, changed or removed at any time without notice.

ii. No offer or solicitation

Nothing on this Site constitutes, or is intended to constitute, an offer, invitation, solicitation, inducement, recommendation or advice to buy, sell, subscribe for, underwrite or deal in any security, financial product, fund interest, investment, banking product or service, nor an offer to provide any regulated financial service. No part of the Site forms the basis of, or may be relied upon in connection with, any contract or investment decision. Any engagement with BTJW is governed solely by a separate, signed written agreement, and not by the Site.

iii. Australia

BTJW is not the holder of an Australian Financial Services Licence (“AFSL”) and is not authorised under the Corporations Act 2001 (Cth). Nothing on this Site is intended to be “financial product advice” within the meaning of the Corporations Act 2001 (Cth), and no content takes into account the objectives, financial situation or needs of any person. BTJW does not carry on a financial services business in Australia, and the Site is not regulated by the Australian Securities and Investments Commission (“ASIC”).

To the extent BTJW provides any services connected with Australia, they are intended for, and directed only at, persons who are “wholesale clients” and/or “sophisticated” or “professional investors” within the meaning of sections 761G and 761GA of the Corporations Act 2001 (Cth). Services and content are not intended for “retail clients”, and no retail client should rely on them. Where any financial product is ultimately involved, you should obtain and consider the relevant disclosure document (such as a Product Disclosure Statement or Information Memorandum) and independent licensed advice before making any decision.

iv. Singapore

BTJW is not licensed or regulated by the Monetary Authority of Singapore (“MAS”). BTJW does not hold a Capital Markets Services (“CMS”) licence under the Securities and Futures Act 2001 of Singapore (the “SFA”), is not a licensed or exempt financial adviser under the Financial Advisers Act 2001 of Singapore (the “FAA”), and is not a licensed fund management company, fund distributor or trust company.

BTJW does not carry on, and nothing on this Site should be construed as, any “regulated activity” under the SFA (including dealing in capital markets products, fund management or providing custodial services) or any activity regulated under the FAA (including advising on investment products or arranging/marketing any investment product). Where BTJW supports family-office establishment, this is provided as structuring, governance and coordination support and does not constitute the management of third-party assets; any tax-incentive scheme (including sections 13O or 13U of the Income Tax Act 1947) and any single family office (“SFO”) licensing exemption is subject to MAS requirements and the family’s own application, and we make no representation that any exemption, incentive or approval will apply or be granted. Content on this Site has not been reviewed by MAS.

v. International / jurisdictional limitations

The Site is operated from, and information is published in connection with, Singapore and Australia. It is not directed at, or intended for distribution to or use by, any person in any jurisdiction where such distribution, publication, availability or use would be contrary to applicable law or regulation, or would subject BTJW to any registration, licensing or authorisation requirement in that jurisdiction. This includes, without limitation, persons in the United States (including US Persons under Regulation S of the US Securities Act of 1933), the United Arab Emirates / ADGM (where financial promotions, arranging or advising may require Financial Services Regulatory Authority (“FSRA”) permissions), the European Economic Area and the United Kingdom. Persons who access the Site do so on their own initiative and are responsible for compliance with all laws applicable to them. Access from a particular jurisdiction does not imply that BTJW is permitted to provide services there.

vi. Capital introductions & third-party managers

BTJW may, where lawful and appropriate, introduce clients to independent third parties, including lawyers, tax advisers, trustees, banks, fund administrators and selected third-party fund managers (“Third Parties”). Any such introduction:

Introduction or referral arrangements (and any associated economics) are the most regulation-sensitive aspect of cross-border capital work and may, depending on structure and jurisdiction, constitute regulated dealing, arranging, advising or distribution. BTJW’s preferred and default position is to charge fixed advisory, project and access fees that are not contingent on, or linked to, any transaction, allocation or assets introduced.

vii. Forward-looking statements & no guarantee of returns

The Site may contain forward-looking statements, projections, estimates, illustrative figures, target ranges or opinions about future events, structures or outcomes. These are based on assumptions current as at the date of publication, are inherently uncertain, and are not guarantees of any future result. Actual outcomes may differ materially. Past performance is not indicative of future performance. No representation is made, and no assurance is given, that any objective, projection, tax outcome, incentive, return or capital preservation will be achieved. Any figures, fee bands or thresholds shown are indicative assumptions for illustration only and are subject to change, individual circumstances, and applicable law.

viii. Limitation of liability & indemnity

To the fullest extent permitted by applicable law: the Site and all content are provided “as is” and “as available”, without warranties of any kind, express or implied; BTJW excludes all liability for any direct, indirect, incidental, consequential, special or punitive loss or damage, including loss of profit, opportunity, data or goodwill, arising out of or in connection with your access to, use of, or reliance on the Site or its content, whether in contract, tort (including negligence), statute or otherwise; and BTJW is not liable for the content, availability or security of any third-party site, link, resource or Third Party referenced on the Site.

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including under the Competition and Consumer Act 2010 (Cth) / Australian Consumer Law or other applicable consumer protection law; where liability cannot be excluded but can be limited, our liability is limited to the maximum extent permitted by law. You agree to indemnify and hold harmless BTJW and its principals, directors, officers, employees, contractors and affiliates from and against any claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of your breach of these terms, your misuse of the Site, or your reliance on its content.

ix. Intellectual property

All content on the Site — including text, graphics, logos, marks, layout, design, methodologies and frameworks — is owned by or licensed to BTJW and is protected by intellectual property laws. The marks “BTJW”, “BTJW Corporate” and “BTJW Private” and associated branding are proprietary to BTJW. You may view and print content for your own personal, non-commercial reference only. You must not reproduce, republish, distribute, modify, frame or exploit any content for commercial purposes without our prior written consent. All rights not expressly granted are reserved.

x. Governing law

These terms and your use of the Site are governed by the laws of Singapore, and you submit to the non-exclusive jurisdiction of the courts of Singapore. Where mandatory consumer protection or financial services laws of another jurisdiction (including Australia) apply to you and cannot be contracted out of, nothing in these terms is intended to displace those rights, and those laws apply to the extent they are mandatory. BTJW makes no representation that the content is appropriate or available for use in any particular location.

xi. Information only — obtain independent licensed advice

The Site is an information resource only. It is not a substitute for personalised, licensed professional advice. Before making any decision relating to structuring, relocation, tax, investment or the engagement of any Third Party, you should obtain your own independent advice from appropriately licensed legal, tax and financial professionals in each relevant jurisdiction.
